1. Introduction

Welcome to ThriveVault Farm Solutions.

ThriveVault Farm Solutions is a South African sole proprietorship providing custom-developed agricultural software solutions.

These Terms of Service govern the use of our website, software development services, software applications, registration licences, additional modules and related services.

By submitting a software request, approving a development proposal, purchasing our services or using our software, you agree to the terms applicable to that transaction.

Any signed or expressly accepted project agreement, quotation or approved scope of work forms part of the agreement between ThriveVault Farm Solutions and the customer.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded under South African law.

2. Our Services

ThriveVault Farm Solutions develops practical farm management software tailored to the operational requirements of individual farmers and agricultural businesses.

Our solutions may include:

  • Spray and chemical management
  • Fertiliser management
  • Employee and labour administration
  • Livestock and herd records
  • Stock and inventory management
  • Production and harvest records
  • Farm expenses and costing
  • Compliance and audit documentation
  • Irrigation and water management
  • Custom reporting and recordkeeping

These functions are examples and are not automatically included in every software application.

Every project is developed according to its individually approved scope of work.

3. Software Requests and Quotations

Customers may submit a software development request through our website.

Submitting a request is free and does not create an obligation to purchase.

Following an initial review, ThriveVault Farm Solutions may prepare a proposal or quotation describing:

  • The agreed software functions
  • The proposed development scope
  • Applicable development charges
  • Additional modules, where required
  • Annual registration charges
  • Any agreed delivery arrangements
  • Special technical requirements or exclusions

Development begins only after the customer has approved the proposed scope and payment has been confirmed.

Additional requirements identified after approval may require a revised quotation.

4. Software Development Pricing

Our standard pricing structure is:

Basic Custom Software Development: R2,500 once-off

This covers the agreed basic software development scope, initial configuration, reasonable pre-delivery testing and basic getting-started guidance.

Major Add-On Modules: R699 per approved module

This applies to eligible substantial additional functions or modules that fall within our standard add-on offering.

More complex requirements, integrations, advanced development or specialised functionality may be quoted separately.

Annual Software Registration: R500 per application per year

This fee applies to each independently registered software application.

The standard starting cost for one basic application during its first year is R3,000, consisting of the R2,500 basic development fee and the initial R500 annual registration fee.

Optional modules and separately quoted services are excluded.

All advertised prices are expressed in South African rand. ThriveVault Farm Solutions is not currently registered as a VAT vendor and does not charge VAT.

5. Payment Terms

Payment is required only after the customer has reviewed and approved the relevant development proposal.

Once the proposed scope and quotation are accepted, ThriveVault Farm Solutions will issue payment instructions or an invoice.

Unless otherwise agreed in writing:

  • Full payment is required before development begins.
  • Payment is made using the payment method specified on the invoice.
  • Development will commence after payment has cleared and been verified.
  • Additional approved work must be paid for according to the applicable quotation.
  • Annual registration renewals are invoiced manually.
  • No automatic recurring deductions are made.

Customers should use the correct payment reference when making payment.

6. Project Scope and Development Process

Software development is based on the requirements approved by the customer.

The customer is responsible for providing reasonably accurate information about the intended farming operations, reporting needs, devices, users and software functionality.

ThriveVault Farm Solutions will use reasonable care and skill in developing the agreed functionality.

Changes requested after the scope has been approved may affect pricing and delivery arrangements.

Development timelines are estimates unless a specific deadline has been expressly agreed in writing.

Where additional information, approvals or access are required from the customer, delays in providing these may affect project completion.

7. Software Testing and Acceptance

ThriveVault Farm Solutions will conduct reasonable testing against the approved scope before delivery.

The customer may be asked to review the software and report problems relating to agreed functionality.

Where the delivered software materially differs from the approved scope, ThriveVault Farm Solutions will assess the issue and provide an appropriate remedy, subject to applicable law.

Requests for functionality not included in the approved scope may be treated as additional development.

Acceptance of the software does not remove any non-excludable statutory rights.

8. Software Registration and Licence

Each independently registered software application requires its own annual licence.

A software licence:

  • Is associated with the specific registered application.
  • May be linked to the relevant customer and farming operation.
  • Has an individual activation date.
  • Remains valid for 12 months from activation, subject to these Terms.
  • Must be renewed annually to maintain authorised access.

Payment for one registered application does not automatically cover additional independently registered applications.

The customer receives permission to use the relevant software under the agreed licence terms.

Purchasing software development services does not constitute a purchase or transfer of the software's underlying intellectual property.

9. Annual Licence Renewal

The annual software registration fee is R500 for each independently registered application.

The initial annual licence fee is payable with the initial approved development fee.

Each application has its own 12-month registration period, calculated from its activation date.

ThriveVault Farm Solutions aims to send a renewal reminder approximately 30 days before the registration expires.

Renewal invoices are issued manually.

Customers remain responsible for ensuring that the applicable annual registration fee is paid by its due date.

There are no automatic recurring licence deductions.

10. Expired Licences and Suspension

If an annual licence expires without successful renewal payment, authorised access to the relevant software application may be suspended.

Where licence-expiry enforcement is implemented in the application, access will be suspended until the outstanding renewal has been paid, verified and the licence reactivated.

Reactivation restores authorised access, subject to the application's technical requirements.

Licence suspension does not:

  • Transfer ownership of customer farming data to ThriveVault Farm Solutions.
  • Authorise the deletion of customer farming data.
  • Constitute a purchase of the customer's records.
  • Automatically terminate the customer's right to request information about their data.

The technical method of suspension, reactivation and access to locally stored records may vary between applications.

Customers should maintain appropriate backups of their data and contact ThriveVault Farm Solutions before licence expiry if they require assistance understanding their application's access or data-export arrangements.

No guarantee is made that an expired licence will retain read-only access unless that capability is expressly included in the application.

11. Ownership of Software and Intellectual Property

Unless expressly agreed otherwise in a separate written contract, ThriveVault Farm Solutions retains ownership of the software's intellectual property, including:

  • Source code
  • Program structure and design
  • Software architecture
  • Reusable components
  • Proprietary development methods
  • Original software functionality and documentation

The customer receives a limited, non-exclusive right to use the relevant software for its approved business purposes during an active licence period.

The customer may not, without written authorisation and subject to applicable law:

  • Redistribute or resell the software
  • Sublicense the software to another farm or business
  • Provide unauthorised third parties with licence keys
  • Copy the software for commercial redistribution
  • Remove or bypass licence controls
  • Misrepresent ownership of ThriveVault intellectual property

Any rights that cannot lawfully be restricted remain unaffected.

12. Ownership of Customer Farming Data

Customers retain ownership and control of the farming records and operational information they enter into their software, subject to any applicable third-party rights.

This may include:

  • Farm and block records
  • Chemical and spray records
  • Fertiliser records
  • Staff information
  • Irrigation records
  • Production information
  • Inventory records
  • Financial and operational data

ThriveVault Farm Solutions does not acquire ownership of customer farming data merely because the customer uses its software.

Licence expiry, suspension or cancellation does not transfer ownership of that data.

The customer must ensure that information entered into the software is accurate, lawfully obtained and appropriately authorised.

13. Local Data Storage and Backups

ThriveVault software applications are generally designed to store operational farming data locally on the customer's computer, unless otherwise agreed for a particular application.

Some applications may offer a manual Backup/Restore feature.

Customers acknowledge that:

  • Local storage does not automatically mean that data is backed up.
  • Automatic cloud backup is not included unless expressly specified.
  • The customer is responsible for implementing an appropriate backup routine.
  • Device failure, theft, corruption or accidental deletion may result in loss of locally stored information.
  • Backup and restoration capabilities depend on the relevant software's functionality.

ThriveVault Farm Solutions will take reasonable care when performing agreed software-related services but cannot guarantee recovery of data for which no usable backup exists.

Nothing in this clause excludes liability that cannot lawfully be excluded.

14. Installation and Technical Requirements

Software functionality may depend on the customer's device, operating system, storage availability, internet connectivity and other technical requirements.

Specific system requirements should be confirmed during project planning.

Not every application automatically supports multiple devices, multiple users, cloud synchronisation or mobile access.

These capabilities must be expressly included in the approved scope where required.

Customers are responsible for maintaining suitable devices and appropriate security protections.

15. Technical Support and Maintenance

The initial basic development package includes reasonable initial setup and basic guidance to help the customer get started.

The annual registration fee covers continued authorised software access for the relevant application.

It does not automatically include:

  • Unlimited technical support
  • Extensive user training
  • New feature development
  • Additional modules
  • Major upgrades
  • Device replacement or migration
  • Data recovery services
  • Third-party software subscriptions
  • Hosting or cloud services

Additional assistance may be subject to a separate quotation.

Where support involves remote access or receiving customer files, ThriveVault Farm Solutions will seek appropriate authorisation and handle the information in accordance with its Privacy Policy and applicable law.

16. Customer Responsibilities

Customers agree to:

  • Provide accurate development requirements.
  • Review and approve the agreed project scope.
  • Pay applicable fees when due.
  • Use their software lawfully.
  • Protect licence details and access credentials.
  • Maintain reasonable device security.
  • Make appropriate backups of locally stored data.
  • Report suspected technical problems promptly.
  • Obtain any legally required permissions for personal information entered into the software.

The customer remains responsible for reviewing the accuracy of operational records and reports generated from information they provide.

17. Agricultural Compliance and Operational Decisions

ThriveVault Farm Solutions provides digital tools intended to assist with agricultural administration, recordkeeping and operational management.

Unless expressly agreed otherwise, the software does not constitute professional agronomic, veterinary, legal, accounting or regulatory certification advice.

Customers remain responsible for verifying information used in agricultural decisions and ensuring compliance with applicable laws, product labels, employment requirements, safety procedures and certification standards.

Software-generated reports or templates do not guarantee compliance with GLOBALG.A.P., GRASP, PPECB or any other regulatory or certification scheme.

18. Cancellations and Refunds

Because software is developed according to an individually approved project scope, cancellation and refund requests are assessed with regard to the stage of development, work already performed, the terms of the approved agreement and applicable South African law.

Customers should submit cancellation requests in writing to thrive-vault@hotmail.com.

ThriveVault Farm Solutions will not automatically treat all development payments as non-refundable.

Any lawful cooling-off rights, rights relating to defective services, and other applicable consumer protections remain unaffected.

Further details are contained in the Refund & Cancellation Policy, which forms part of these Terms where applicable.

19. Limitation of Liability

ThriveVault Farm Solutions will take reasonable care in delivering agreed software services.

However, software functionality may depend on factors outside its direct control, including the customer's device, operating system, hardware, third-party applications, data quality and security practices.

To the extent permitted by law, ThriveVault Farm Solutions is not responsible for losses arising solely from customer misuse, unauthorised modification, failure to maintain appropriate backups or technical events outside its reasonable control.

Nothing in these Terms limits or excludes liability where doing so would be unlawful, including any applicable rights concerning negligent performance, defective services, gross negligence or other non-excludable statutory protections.

20. Privacy and Personal Information

ThriveVault Farm Solutions handles personal information in accordance with its Privacy Policy and applicable South African data-protection legislation, including the Protection of Personal Information Act (POPIA).

Personal information may be collected or processed for purposes such as:

  • Responding to customer enquiries
  • Preparing software quotations
  • Processing payments
  • Managing software registrations
  • Sending renewal notices
  • Providing authorised technical assistance
  • Maintaining relevant business records

Customer operational data ordinarily remains stored on the customer's own device where the application uses local storage.

If customer files or personal information are received during authorised support, the handling of that information is governed by the applicable privacy arrangements and legal requirements.

21. Changes to Services and Terms

ThriveVault Farm Solutions may update its website, service offerings, prices and these Terms from time to time.

Changes will not automatically alter an already approved development scope or paid licence period unless permitted by the relevant agreement and applicable law.

Material changes affecting existing customers will be communicated where legally required.

The effective date of the current Terms will be displayed on this page.

22. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa.

Customers are encouraged to contact ThriveVault Farm Solutions first so that any complaint or dispute can be investigated and addressed.

Nothing in these Terms prevents a customer from exercising rights or remedies available through an applicable court, tribunal, regulatory authority or consumer protection body.
